Dealer Terms and Conditions

Kennel Gear USA – Authorized Retailer Agreement

Effective Date: March 1, 2025

Thank you for your interest in becoming a valued retail partner of Kennel Gear USA. The following Terms and Conditions outline the expectations, responsibilities, and policies that apply to all authorized dealers purchasing Kennel Gear USA products for resale. By placing an order with us, you agree to the terms set forth below.

1. Dealer Authorization

  • To become an authorized dealer, you must complete a Dealer Application and be approved in writing by Kennel Gear USA.
  • Once approved, you may present yourself as an “Authorized Dealer” for the duration of your agreement with us.
  • This agreement is non-transferable and may not be assigned without our prior written consent.

2. Ordering and Payment

  • Orders can be placed through our online portal, by phone, or by email.
  • Payment is required at the time of purchase unless other arrangements have been approved in advance.
  • Accepted payment methods include Visa, MasterCard, American Express, Discover, and PayPal.
  • All prices are listed in U.S. Dollars (USD) and are subject to change without notice.
  • Dealers are responsible for applicable taxes unless a valid resale certificate is provided.

3. Minimum Orders

  • We may establish minimum order quantities or dollar amounts for wholesale pricing. Any applicable requirements will be communicated at the time of account setup.
  • Orders that do not meet the minimum may be subject to additional handling or shipping charges.

4. Shipping and Delivery

  • Orders typically ship within 48 business hours of confirmation.
  • We ship via UPS and USPS, with shipping charges billed to the Dealer unless otherwise stated in a promotion or agreement.
  • Shipping lead times vary depending on location and carrier.
  • Risk of loss transfers to the Dealer once the order is handed off to the shipping carrier.

5. Returns and Exchanges

  • Claims for shortages, errors, or damages must be reported within 5 business days of delivery.
  • Products may be returned within 30 days of receipt, provided they are in new, unused condition and include all original packaging, documentation, and accessories.
  • Returns are subject to inspection and may be subject to a restocking fee of 20% or more.
  • Custom, special-order, and “Final Sale” items are not eligible for return.
  • Dealers are responsible for return shipping costs unless the return is due to our error.

6. Minimum Advertised Price (MAP) Policy

  • Dealers must follow Kennel Gear USA’s MAP policy for all advertised prices.
  • The MAP policy is designed to protect our brand value and ensure fair competition.
  • A copy of the current MAP policy will be provided upon approval.
  • Violations of the MAP policy may result in suspension or termination of your dealer account.

7. Sales Channels

  • Dealers are permitted to sell Kennel Gear USA products only through approved channels disclosed at the time of application.
  • Sales on third-party marketplaces (such as Amazon, eBay, Walmart Marketplace) are not permitted.
  • Products may not be repackaged, altered, or relabeled.

8. Marketing and Brand Use

  • Approved dealers may use our trademarks, logos, product images, and marketing materials for promotional purposes, provided they follow our brand guidelines.
  • All marketing assets remain the intellectual property of Kennel Gear USA.

9. Confidentiality

  • Dealers agree to keep any confidential or proprietary information provided by Kennel Gear USA (including pricing and sales data) strictly confidential and not share it with third parties

10. Termination

  • Either party may terminate the dealer relationship at any time with 30 days’ written notice.
  • Kennel Gear USA reserves the right to immediately terminate a dealer relationship for violations of these Terms, including MAP policy breaches or unauthorized sales activity.

11. Liability

  • Kennel Gear USA is not liable for any indirect, incidental, or consequential damages arising from the use or resale of our products.
  • Our total liability is limited to the purchase price of the product in question.

Governing Law

  • These Terms are governed by the laws of the State of Colorado.
  • Any disputes shall be handled in the courts located in Weld County, Colorado
